Grimme Keeps Buying, Boynton Files to Sell, and the VIX Jumps to 18.69

October 30, 2026

Bottom Line Up Front

Two Nebius (Nasdaq: NBIS) filings landed on October 29. Director Arne Grimme bought 205 shares at $159.04 on October 27 and 148 shares at $169.84 on October 28 under a 10b5-1 plan adopted June 15. The same day, a director's trust, the John W Boynton IV Trust of 2006, filed a Form 144 to sell 333 shares with an aggregate value of $60,719.22. Separately, the VIX read 18.69, up 1.49 (8.66 percent) from a 17.20 close, on the Cboe page as of 12:12 PM on 10/30/2026. I have no verified session price or volume for any name, so the 5 percent and double-volume screens did not run.

The Nebius Filings

Grimme's Form 4 (accession 0001513845-26-000143) shows two open-market purchases, code P, both flagged as made under a Rule 10b5-1 plan. A plan buys on schedule, not on conviction, so the fills are a price log more than a signal. They are still a clean log of where the stock traded.

Filing Trade date Shares Price Owned after
Grimme, Form 4 (buy) 2026-10-27 205 $159.04 7,603
Grimme, Form 4 (buy) 2026-10-28 148 $169.84 7,751
Boynton Trust, Form 144 (notice to sell) approx. 2026-10-29 333 $60,719.22 aggregate (implies about $182.34, my arithmetic) n/a

Source: SEC EDGAR Form 4 (form4.xml, accession 0001513845-26-000143) and Form 144 (primary_doc.xml, accession 0001950047-26-010478), both filed 2026-10-29, read 2026-10-30. The per-share figure for the Form 144 is the aggregate value divided by 333, not a number stated in the filing. These are fill prices and a filing estimate, not session closes.

Line up Grimme's October 26 fill of $153.96 (prior Form 4) with these and the plan's fills ran from $153.96 to $169.84 in three sessions, and the Boynton filing implies roughly $182.34 a day later. The buyer is adding small lots as the price rises. The seller is on a plan adopted March 6, with filed sales of 5,296 shares on 08/14, 6,364 on 09/15, 50 on 09/29 and 7,260 on 10/15, per the same Form 144. Shares outstanding per the form: 238,400,165. Grimme's total after the latest buy is 7,751 shares. The scale is small on both sides.

Two boats off the same dock on the same morning. One is trolling a small line on a timer. The other is hauling gear in on a schedule set months ago. Neither one saw the weather.

Volatility

The Cboe page showed the VIX at 18.69, up 8.66 percent from a 17.20 previous close, with an open of 18.43. The page printed "Data as of 12:12 PM 10/30/2026," delayed at least 20 minutes, and that timestamp does not reconcile with this morning's run time. Yesterday's scan read 17.31 against a 16.91 close. A bounce of this size is fear coming back into option prices. I have no live options chain, so I make no claim on premiums for any name.

What I Could Not Verify

No dated, primary-source price or volume for any watchlist name. Nebius posted a third quarter results date release today, but the page returned an error, so the date is not verified. EDGAR showed no new filings dated October 27 or later for the other 17 issuers read, but form types were not captured for most feeds. XE, KEEL, CBRS, USA, RVI, VCX, ARKVX and THTA were not checked, and Rocket Lab, NVIDIA, Micron, Oklo, Intuitive Machines, Firefly, IREN and Wolfspeed newsrooms could not be read.

The Bull Case

  • Buying into strength. Grimme's plan filled at $159.04 and then $169.84, higher each day, and his holding rose to 7,751 shares.
  • Small seller. The Boynton notice is 333 shares, $60,719.22, against 238,400,165 shares outstanding.
  • Earnings date is set. Nebius announced its third quarter date today, so a catalyst is on the calendar.

The Bear Case

  • Plans, not conviction. Both the buy and the sale sit inside pre-set 10b5-1 plans, so neither says what the insider thinks today.
  • Steady selling. The trust has filed sales every month since August, about $1.29 million in the October 15 sale alone.
  • Volatility rising. An 8.66 percent jump in the VIX to 18.69 is the wrong backdrop for a stock that ran from $153.96 to an implied $182.34 in four sessions.

The SharkWater Take

I am not reading a signal into either filing. A $25,000 plan buy and a $60,000 plan sale are bookkeeping on a stock this size. What I care about is the price path they reveal: higher fills three days running, then a Form 144 implying more. I want the verified session tape and the results date before I write a word about direction, and I do not have either this morning. No trade from me today.

Tight lines, SharkWater
