SharkWater Pre-Market Scan — September 21, 2026
Window covered: Monday, September 21, 2026, compiled ~12:03 UTC (~8:03am ET), before the 9:30am ET open. Per the standing Monday rule, filings are checked back to Friday, September 18, 2026. The most recently completed trading session remains Friday, September 18, 2026 (markets closed over the weekend); Saturday–Sunday filings/newsroom activity was already covered by the September 20 scan and found quiet. This run re-checked that window plus Monday's pre-market for anything new.
Notes on scope and ambiguities (reported rather than resolved, per standing instruction):
Recipient address discrepancy, again. This run's instructions specify
mcorrao@gmail.com(no dot). Consistent with every prior scan, sending tom.corrao@gmail.com(matches the account on file) andm.corrao.sharkwater@blogger.cominstead.This run's instructions ask unconditionally for "a briefing, and the blog post." Unlike prior runs, this is not conditioned on an ACTIONABLE item clearing the bar. A post has been built (see below), built around the single cleanest, most-actionable, primary-sourced item found this run: AGNC's S&P MidCap 400 index inclusion effective before today's open.
No primary exchange (Nasdaq/NYSE/exchange-fed) price or volume data was obtainable for any watchlist ticker this run. All price/volume figures below are sourced to secondary aggregators (stockanalysis.com, 24/7 Wall St., Motley Fool, public.com) and are labeled as such throughout. Per project rules these are leads, not citable figures on their own; treat every percentage move below as directionally indicative, not exchange-confirmed, unless a primary source is cited alongside it.
VCX's 75.67 percent premium to NAV, surfaced again this run from a September 10, 2026 424B2 filing, is not new. It is the same September 8, 2026 mark already published in the September 9, 2026 SharkWater post ("VCX's Own Prospectus Admits a 76 Percent Premium"). The 424B2 appears to carry the same stale figures forward. Not treated as actionable; logged in Monitor only for the data-integrity note.
Ticker identity re-confirmed this run, all from primary/issuer sources, no collisions found: RVI = Robinhood Ventures Fund I (CIK 2085091). DXYZ = Destiny Tech100 Inc. (CIK 1843974). VCX = Fundrise Innovation Fund, LLC (CIK 1867090) — note a related but separate entity, Fundrise Innovation Fund II, LLC (CIK 2138533), also files; do not conflate. ARKVX = ARK Venture Fund Class D (CIK 1905088), a non-exchange-traded interval fund, no pre-market price applies. USA = Liberty All-Star Equity Fund (CIK 799195). THTA = SoFi Enhanced Yield ETF, registered under Tidal Trust I (CIK 1742912). XE = X-energy Inc. (CIK 2088896), confirmed via the company's own April 2026 newsroom release. CBRS = Cerebras Systems Inc. (CIK 2021728), confirmed via its S-1 and May 2026 Nasdaq listing. KEEL = Keel Infrastructure Corp. (CIK 1812477, formerly Bitfarms/BITF).
HEADLINE
AGNC Investment joins the S&P MidCap 400 effective before today's open, the cleanest single dated, primary-sourced catalyst in an otherwise thin pre-market session; the more interesting open threads (NuScale's escalating investor-solicitation alerts, three unread Rocket Lab filings likely tied to the Iridium deal) remain genuinely open rather than resolved.
ACTIONABLE
1. AGNC (AGNC Investment Corp, Nasdaq) — S&P MidCap 400 inclusion effective before Monday, September 21, 2026's open.
What happened: AGNC will join the S&P MidCap 400 Index effective prior to today's open. Source: AGNC's own press release via PR Newswire, dated September 16, 2026, 4:01pm ET.
Why post-worthy: index inclusion is a mechanical, dated, trading-relevant event, distinct from AGNC's usual rates-and-book-value story, and there is no existing SharkWater post on AGNC.
Open question to resolve before writing: the PR is three trading sessions old by today's effective date, so the question is how much of the passive-flow buying already happened into Friday's close versus what remains for today's open. No dollar-flow or estimated-shares-needed figure was found from a primary source; that would need to come from S&P Dow Jones Indices' own methodology or index-fund AUM disclosures, not an assumption.
2. SMR (NuScale Power Corp, NYSE) — escalating investor-solicitation alerts following the September 11, 2026 UBS downgrade.
What happened: Pomerantz LLP published an "Investor Alert" announcing a securities-fraud investigation into NuScale (PR Newswire, September 17, 2026, 7:11pm ET), re-syndicated September 18–20; a second firm, SBS Law, published a similar alert September 20, 2026.
Why post-worthy: this is a new, dated escalation of an already-covered thread (the September 11 UBS downgrade to Sell, $10-to-$6 price-target cut), and plaintiffs'-firm activity around a name already on the desk is worth tracking.
Open question to resolve before writing: these are law-firm solicitation notices, not confirmed SEC or DOJ enforcement action. No actual securities-fraud complaint was located on a docket search, and NuScale's own newsroom showed no 8-K or press response in the window. The post cannot be written until it's clear whether this is a real investigation or standard ambulance-chasing following any post-downgrade stock decline.
3. RKLB (Rocket Lab Corp, Nasdaq) — three 8-Ks and a PRE 14A filed September 18–19, 2026, contents unread.
What happened: EDGAR confirms three 8-Ks filed September 18 (~23:19–23:20 UTC, accession 0001950047-26-009032) and a PRE 14A filed September 19 (~00:28 UTC). Context (the pending all-stock Iridium Communications acquisition, financing/ATM activity completed September 15) strongly suggests these relate to that deal, but the actual filing text was not read this run.
Why post-worthy: a preliminary proxy statement for an $8B-class all-stock acquisition is squarely the kind of primary-source filing this desk exists to read before anyone else does.
Open question to resolve before writing: read the actual 8-K and PRE 14A text (deal terms, share-issuance count, exchange ratio, shareholder vote date) before writing anything. Nothing in this scan should be treated as confirming what the filings say.
MONITOR
- WOLF (Wolfspeed) — resale-overhang thread still open. None of the five holders named in the September 16–17 S-3ASR (Renesas, Slate Path/SPB Master Fund, T. Rowe Price entities, Capital Research Global/Capital World Investors, Lazard Asset Management) have filed a Form 4 or Form 144 as of this morning; confirmed via individual EDGAR full-text search by holder name, zero hits across all five. Separately, WOLF moved roughly +6 to +7.8 percent in Friday's September 18 session per 24/7 Wall St. (secondary, not exchange-primary).
- KEEL (Keel Infrastructure) — insider-buying rumor still unconfirmed. No Form 4, 13D/G, or 8-K filed since the last confirmed Form 4 on August 21, 2026 (per data.sec.gov/submissions, checked fresh this morning).
- IREN — Friday session move exceeds the 5 percent flag threshold, no company-specific catalyst identified. Reported roughly +4 to +7.36 percent in the September 18 session per 24/7 Wall St. (secondary), attributed to sector-wide rotation into single AI-infrastructure names rather than IREN-specific news. No primary exchange print obtained.
- PL (Planet Labs) — CEO Form 4 insider sale, figures not cross-checked. Motley Fool (September 19) reports CEO Will Marshall reduced his stake by more than 100,000 shares (~$2.2M) around September 18; an EDGAR Form 4 was filed that date (accession 0001193125-26-395503) but its exact share count and price were not independently read against the aggregator's figure. Friday's session move (~-4 percent per secondary source) sits at or just under the flag threshold.
- ASTS (AST SpaceMobile) — securities class-action solicitation, not a confirmed complaint. Bronstein Gewirtz & Grossman put out a lead-plaintiff solicitation (GlobeNewswire, September 20) citing a class period of March 4, 2025–July 15, 2026 and alleging AST overstated capital sufficiency and competitive positioning. This is a law-firm PR, not a complaint verified on a docket. Friday's session move (~-6 percent per secondary source) is attributed to sector-wide profit-taking, not this specific item.
- LUNR (Intuitive Machines) — Friday session move reported near -5.9 percent (secondary source only), no confirmed single catalyst. Narrative ties it to heavy trailing-12-month insider selling (~$259M net per GuruFocus) and general sector softness; not independently confirmed against a primary print.
- THTA (SoFi Enhanced Yield ETF) — possible stale distribution republication. SoFi's own GlobeNewswire release dated September 14, 2026 announces a 10.00 percent distribution rate but displays ex/record/payment dates from the August cycle (8/17, 8/17, 8/18), not a September cycle, which breaks the pattern of prior months (where the release date and the distribution dates matched). No September-dated 19a-1 notice with its own ex/record/payment dates was located. Needs a primary-source recheck before the 10.00 percent figure is used again in any post.
- Macro backdrop into today's open. VIX sits in the low-14s (CBOE's own site showed 14.82 on a live snapshot timestamped 12:02pm ET 9/21; Friday's settled close was 14.81 per a secondary source; the two prints were not fully reconciled). The Fed's September 16, 2026 hike to 3.75–4.00 percent stands, with no emergency weekend action; Minneapolis Fed's Kashkari made hawkish public remarks September 21. A Trump-Xi summit is scheduled this week (reported as September 23–25 in prior scans, September 24 in today's sources; date not reconciled), with preliminary US-China trade talks reported over the weekend. Oil price direction is contested between two secondary sources (one reports WTI/Brent down roughly 1 percent, another describes crude "holding above $95"); no primary print (EIA/CME settlement) was checked.
NOISE
(checked this window, no new material development beyond what's captured above)
RDW — no filings, no newsroom items Sept 19–21; a modest positive pre-market indication (+2.33% per aggregator) with no identified catalyst, unverified.
FLY — four routine Form 4s filed Sept 18 (insiders Kim Jesung, Ma Darren, Wu Remington, Ferring Russell Shea), no 8-K, no newsroom items Sept 19–21.
RVI — no filings Sept 19–21; NAV last printed June 30, 2026 ($25.02/share per Robinhood's own site), no fresher mark found; no distributions declared.
DXYZ — no filings Sept 19–21 beyond routine early-September insider Form 3/4s; NAV $34.30/share as of June 30, 2026 per N-CSRS (filed Aug 28), fund states explicitly no distributions declared for H1 2026.
ARKVX — routine monthly NPORT-P filed Sept 18 (net assets $1.184B as of July 31, 2026), no other activity.
ORC — September dividend of $0.10/share declared Sept 14, 2026 (issuer's own GlobeNewswire release), ex/record Sept 30, payable Oct 29; no filings Sept 19–21; book value per share not published in the release.
USA — no filings Sept 19–21; distribution policy (~10%/year of NAV, quarterly) unchanged; current NAV/market price/premium-discount not obtainable this run.
OKLO — no new filings Sept 18–21 (most recent activity remains the Sept 11 $1B ATM program, already covered); FERC docket EL26-101 (Oklo v. PJM) shows no new activity since a Sept 4 PJM answer.
XE — no filings Sept 18–21 by the company itself; most recent newsroom item remains Sept 15 (Centrica/UK design review).
WULF — Friday session move ~+3.28 percent per aggregator, below the flag threshold; no filing or newsroom check turned up anything dated Sept 19–21.
NBIS — no newsroom items Sept 19–21 (most recent remains a Sept 8 Palantir partnership item); no filing check completed this run (see Data Gaps).
CBRS — no newsroom items Sept 19–21; no filing check completed this run (see Data Gaps).
NVDA — no newsroom items Sept 19–21 (most recent remains Sept 17); no filing check completed this run.
AVGO — newsroom fetch was inconclusive (technical failure, not a confirmed absence of news); no filing check completed this run.
MU — no filing or newsroom check completed this run; see Data Gaps for a price-figure integrity concern.
Trending names outside the watchlist: none confirmed. SpaceX (already public since June 2026, ticker not on this watchlist) is getting attention around today's Nasdaq-100 rebalancing, which is being cited as sentiment background for ASTS/RKLB/LUNR/PL/RDW, but no new watchlist-adjacent ticker surfaced. One unidentified symbol, "RKTO," appeared in a stale aggregator roundup; it could not be identified and should not be used.
DATA GAPS
- No primary exchange (Nasdaq/NYSE) price or volume data was obtained for any of the 26 watchlist tickers this run. Every percentage move cited above traces to a secondary aggregator (24/7 Wall St., Motley Fool, stockanalysis.com, public.com), not an exchange feed or primary print. Several aggregator pages also returned stale cached data when queried for "today's" pre-market (dates ranging from May through late August 2026 despite ranking for current searches); those were excluded rather than reported as current.
- SEC EDGAR filing checks were not completed for CBRS, WULF, IREN, NBIS, NVDA, MU, and AVGO specifically for the Sept 19–21 window. Only KEEL and WOLF (plus WOLF's five named resale holders) got the full individual-name EDGAR full-text-search treatment this run.
- MU's cited price figure (~$1,015.80, from a Sept 19 Motley Fool piece) looks implausible against Micron's known trading range and was not checked against a primary/exchange source or a stock-split announcement. Do not use this figure without independent verification.
- RKLB's three Sept 18 8-Ks and Sept 19 PRE 14A were confirmed to exist on EDGAR but their actual text was not read. Their relationship to the Iridium acquisition is inferred from context only (see Actionable #3).
- NuScale's investor-solicitation alerts (Actionable #2) are plaintiffs'-firm PR, not a confirmed SEC/DOJ action. No underlying complaint was located on a docket search this run.
- AST SpaceMobile's securities class-action solicitation (Bronstein Gewirtz & Grossman, Sept 20) is a law-firm PR; the underlying allegations were not pulled from PACER or any court filing.
- THTA's September distribution dates (Actionable/Monitor item) remain unresolved — see Monitor above. No 19a-1 notice with September-specific ex/record/payment dates was located.
- VCX's return-of-capital composition could not be verified against a primary 19(a) notice; a fund-site claim of 100 percent return-of-capital distributions was found but not confirmed against an SEC filing.
- ARKVX's cited NAV ($60.39/share as of Sept 8, 2026) is aggregator-sourced only (stockanalysis.com); ark-funds.com's live NAV widget did not return data to the fetch tooling.
- RVI's NAV is stale by more than eleven weeks (last printed June 30, 2026); no fresher mark was located from Robinhood's own site or an SEC filing.
- CBOE's VIX print (14.82, shown as a live snapshot at 12:02pm ET 9/21) was not fully reconciled against Friday's settled close (14.81, secondary-sourced); treat both as directionally consistent (low-14s) rather than a single confirmed figure.
- Oil price direction for the weekend is contested between two secondary sources with no primary (EIA/CME settlement) source checked.
- FERC docket EL26-101 (Oklo v. PJM) status after September 4, 2026 was checked via web search only, not a direct FERC eLibrary pull.
- KEEL's August Form 4 insider-buy share counts were sourced from an aggregator (StockTitan), not read from the primary Form 4 XML.
- Broadcom's (AVGO) newsroom check failed on a fetch/extraction error, which is a technical gap, not confirmation that nothing was published.
